Terms of Service

1. Agreement to Terms

By accessing or using PostSignup ("Service"), operated by Uplizd Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PostSignup is a founder follow-up automation platform that enables users to send automated, personalized emails to their customers and leads. The Service includes:

• Email automation and scheduling
• Integration with email providers (Gmail, Microsoft 365)
• Contact management and import capabilities
• Analytics and reporting
• API access for developers

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Send spam or unsolicited bulk email
• Violate CAN-SPAM, GDPR, or other applicable laws
• Send emails to purchased or scraped lists
• Impersonate others or misrepresent your identity
• Send malicious content, phishing attempts, or malware
• Harass, threaten, or harm others
• Violate intellectual property rights
• Interfere with the Service's operation
• Attempt to gain unauthorized access to systems

Email Sending Requirements: All emails must include a valid physical address and an unsubscribe mechanism. Recipients must have a prior relationship with you or have opted-in to receive communications.

5. Subscription and Payment

5.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5.2 Plan Limits

Each plan includes specific limits on contacts, emails sent, and features. Exceeding these limits may result in additional charges or service restrictions.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Uplizd Inc. and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you create or upload to the Service. By using the Service, you grant us a limited license to process and transmit this content as necessary to provide the Service.

7. Third-Party Integrations

The Service integrates with third-party services (Google, Microsoft, Stripe, etc.). Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party service availability or changes to their APIs.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that emails will be delivered, as delivery depends on recipient servers and other factors outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPLIZD INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Uplizd Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is harmful to us or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. Data retention follows our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in Massachusetts, except that either party may seek injunctive relief in court.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
